Canadian drugmaker Valeant Pharmaceuticals International Inc. said it will sell $1.75 billion in stock to help fund its acquisition of Bausch + Lomb.

Valeant did not say how many shares it plans to sell. The company said it plans to raise $1.75 billion before discounts, expenses, and other items. It will use the proceeds to help fund its $4.5 billion purchase of Bausch + Lomb, to cover fees and expenses related to the deal, and to repay or retire Bausch + Lomb's debt.

Globus Faces $16M Payment Over Patent Dispute

Spinal implant manufacturer Globus Medical may have to pay $16 million after a jury decided that three of its products infringed on the patents held by DePuy Synthes Products LLC, a unit of Johnson & Johnson Inc.

Globus said that a jury in the U.S. District Court in Delaware made the decision. However, a formal judgment has not been entered in the case and there are a number of motions and hearings still to be resolved.

The Audubon, Pa.-based company said it will seek to overturn the verdict in post-trial motions or the appeals process.

Teva Buying Microdose for $40M

Teva Pharmaceutical Industries Ltd. said that it is buying MicroDose Therapeutx for $40 million to build its pipeline of respiratory products.

Teva, based in Israel, is one of the world's largest makers of generic drugs. It also makes branded medicines.

As part of the deal for MicroDose, Teva will pay up to $125 million more if certain regulatory and development targets are met.

MicroDose, which is privately held, concentrates on inhalation technologies and products for lung diseases and infections. It was founded in 1998 and is based in Monmouth Junction, N.J.

Perrigo Acquires Eye-Care Portfolio

Perrigo Co. said that it bought the ophthalmic ointment and solution portfolio of Fera Pharmaceuticals LLC for $93 million in cash.

Perrigo has been looking for an ophthalmic deal as part of its strategy to expand its presence in the niche topical medication market.

The company also agreed to $36 million in potential contingency payments if it secures additional product rights from Fera. Perrigo also anticipates a tax benefit, worth an estimated $20 million, as a result of the acquisition.

Pay-to-Delay Can Be Challenged

WASHINGTON (AP) - The Supreme Court ruled that deals between pharmaceutical corporations and their generic drug competitors, which government officials say keep cheaper forms of medicine off the market, can be sometimes be illegal and therefore challenged by federal officials in court.

The justices voted 5-3 to allow the government to inspect and challenge what it calls "pay-for-delay" deals or "reverse settlements."

J&J Acquiring Aragon for $650M

NEW BRUNSWICK, N.J. (AP) - Johnson & Johnson said that it has agreed to buy Aragon Pharmaceuticals Inc. for at least $650 million in cash, boosting its position in prostate drug development.

The privately-held San Diego, company is focused on the development of drugs to treat hormonally-driven cancers.

Under the terms of the deal, Johnson & Johnson will make an upfront cash payment of $650 million, plus additional payments of up to $350 million if certain milestones are met. The deal is expected to close in the third quarter.

Lilly Developing Diabetes Drug

Eli Lilly and Co. will pay Canadian drug developer Transition Therapeutics Inc. $7 million and take over the development of a potential diabetes treatment heading into mid-stage clinical testing.

Transition said it also could receive up to $240 million in additional payments, plus royalties if the treatment is eventually approved and sold. It also will pay Lilly, which is based in Indianapolis, $14 million in three installments during the mid-stage study.

Court to Hear Drug Liability Arguments

The Alabama State Supreme Court is reconsidering a decision allowing makers of name brand drugs to be held liable for injuries caused by generic versions that are made by different companies.

AL.com reported that the court has announced oral arguments will be held in September in response to the makers of an acid reflux drug requesting that the court reverse an opinion it issued in January.

Pfizer Inc. officials have said the court's first decision was made without oral arguments being presented in the case.
